Efficiency Leaders – Terms of Service

- Acceptance of Terms
1.1 By accessing or using any module of the RapidP2P platform (“Platform”), you (“User”) agree to be bound by these Terms of Service (“Terms”).
1.2 These Terms form part of the Agreement between the Customer and Efficiency Leaders. Capitalised terms not defined herein have the meaning given in the Master SaaS Agreement.
1.3 If you do not agree to these Terms, you must not access or use the Platform.

- User Accounts
2.1 Each User must:
- Keep login credentials secure and confidential;
- Use the Platform only for authorised business purposes;
- Immediately report any suspected unauthorised access or misuse.
2.2 The Customer remains responsible for all activity conducted under its user accounts.
- Permitted Use
3.1 Users must:
- Access the Platform solely for the internal business operations of the Customer;
- Comply with all applicable laws and policies when using the Platform.
3.2 Users must not:
- Use the Platform for any fraudulent, unlawful or harmful purpose;
- Attempt to copy, modify, reverse-engineer or create derivative works of the Platform;
- Interfere with the performance or availability of the Platform;
- Use the Platform to transmit any harmful code, viruses, or spam.
- Availability and Maintenance
4.1 Efficiency Leaders uses best efforts to maintain uptime and availability of the Platform during standard operating hours.
4.2 The Platform may occasionally be unavailable for scheduled maintenance or unforeseen interruptions. Notice of planned outages will be provided.
- Privacy and Data Use
5.1 All data is stored in Australia using Microsoft Azure infrastructure. Efficiency Leaders complies with applicable privacy laws, including the Australian Privacy Act, NZ Privacy Act and GDPR.
5.2 The Privacy Policy, available at https://efficiencyleaders.com.au/privacy, explains how personal and operational data is collected, used and protected.
- Suspension and Termination of Access
6.1 Efficiency Leaders may suspend or terminate a User’s access where:
- The User breaches these Terms and has failed to remedy such breach within a reasonable time of receiving written notice of such breach;
- The Customer’s account is overdue or suspended;
- There is a suspected security or legal risk.
6.2 Access will be reinstated as soon as the underlying issue is resolved.
- Third-Party Services
7.1 The Platform may include features integrated with third-party providers, including ABBYY and Peppol.
7.2 ABBYY Technology
7.2.1 The Platform incorporates certain software and services provided by ABBYY Solutions Limited and its affiliates (“ABBYY Technology”). ABBYY Technology is embedded within and accessed solely through the Platform.
7.2.2 ABBYY and its licensors retain all right, title and interest, including all intellectual property rights, in and to the ABBYY Technology. Nothing in these Terms grants ownership rights in the ABBYY Technology.
7.2.3 Subject to these Terms, the Customer and its Users are granted a non-exclusive, non-transferable right to use the ABBYY Technology solely as embedded within the Platform and solely for the Customer’s internal business operations. No separate right to access or use the ABBYY Technology independently of the Platform is granted.
7.2.4 In addition to the restrictions set out in Clause 3, the Customer and its Users must not:
- Decompile, reverse engineer or disassemble the ABBYY Technology;
- Modify, reproduce, distribute, sublicense, transfer or otherwise exploit the ABBYY Technology beyond permitted use;
- Disclose the results of any benchmarking or performance testing relating to the ABBYY Technology without prior written consent;
- Make the ABBYY Technology available to third parties except as embedded within the Platform;
- Transmit unlawful, defamatory or infringing content through the ABBYY Technology; or
- Transmit malicious code or harmful technology that may interfere with the ABBYY Technology.
7.2.5 To the fullest extent permitted by law, ABBYY shall have no liability whatsoever to the Customer or any User for any general, special, direct, indirect, consequential, incidental, lost profits or other damages arising out of or relating to the ABBYY Technology. All claims and disputes relating to the Platform, including ABBYY Technology, shall be brought solely against Efficiency Leaders. ABBYY has no obligation to participate in any dispute between Efficiency Leaders and the Customer or its Users.
7.2.6 The Customer is responsible for ensuring compliance with all applicable data protection and privacy laws in connection with its use of the Platform and any personal data processed via the ABBYY Technology. The Customer must provide sufficient notice to, and where legally required obtain appropriate consent from, individuals whose personal data is processed through the Platform. Notwithstanding the above, ABBYY is not responsible for compliance with the particular data protection laws applicable to End Users or its industry, or to providers of critical infrastructure.
7.2.7 To the extent ABBYY provides code samples used within the Platform:
- ABBYY retains ownership of such code samples;
- Modifications made by Efficiency Leaders to such code samples remain the property of Efficiency Leaders; and
- If such modifications are voluntarily disclosed to ABBYY, ABBYY is granted a non-exclusive, perpetual, royalty-free licence to use such modifications without compensation.
7.3 Peppol Network Services
7.3.1 The Platform may facilitate the exchange of electronic documents via the Peppol eDelivery network (“Peppol Network”). Where enabled, the Customer and its Users acknowledge that the Peppol Network is an independent international framework for electronic document exchange governed by applicable Peppol specifications and network policies.
7.3.2 The Customer is solely responsible for the accuracy, completeness and legality of documents transmitted via the Peppol Network and for compliance with applicable Peppol BIS specifications and jurisdiction-specific requirements. The Customer remains responsible for compliance with applicable tax, accounting and regulatory obligations relating to electronic invoicing. Efficiency Leaders performs technical transmission functions only and does not validate the legal compliance of documents.
7.3.3 The Peppol Network is operated by independent Access Points and network participants. Efficiency Leaders does not control the availability, performance or acceptance of documents by recipient systems. Delays, rejections or delivery failures caused by the Peppol Network or recipient systems do not constitute a breach of these Terms.
7.3.4 Access to Peppol functionality may be suspended where required by a Peppol authority, Access Point provider, applicable law or where misuse or non-compliance is reasonably suspected.
- Liability
8.1 The Platform is provided “as-is” for permitted use. Efficiency Leaders does not warrant that it is error-free or uninterrupted.
8.2 To the extent permitted by law, Efficiency Leaders disclaims all liability for indirect, incidental or consequential losses.
8.3 Refer to the Master SaaS Agreement for complete terms on warranties and liability.
- Changes to Terms
9.1 Efficiency Leaders may update these Terms of Service from time to time.
9.2 Continued use of the Platform after changes are published constitutes acceptance of the updated Terms.

- Governing Law
10.1 These Terms are governed by the laws of New South Wales, Australia. Users submit to the non-exclusive jurisdiction of the courts of the country.
